A CTION ITEM: CHANGES TO THE AACP BYLAWSThe following are changes proposed to the bylaws of the AACP proposed at the 2001 Winter meeting of the Board. These changes will be voted on at the AACP membership forum to be held on May 20 at the 2002 APA annual meeting. The complete original bylaws are posted on the AACP website (www.communitypsychiatry.org). Article III Membership Section 7. First four sentences eliminated. This Section proposed to read: Membership may be refused or terminated on the basis of ethical or professional unsuitability as determined by the Membership Committee. A rejected applicant must be informed by the Membership Committee and has the right of appeal to the Executive Committee. The Executive Committee shall be the final judge of acceptability of all candidates for membership.
Section 8. Omit last sentence regarding the membership year.
Article IV Board of Directors Section 4. Meetings. Add to the third and fourth sentences as follows: "The board may also act at "meetings" held by telephone conference call, other electronic means of communication, or by unanimous written consent. Notice must be given at least four (4) weeks in advance for personal meetings and two (2) weeks for conference calls or other potentially simultaneous electronic communication."
Article VI Elections Section 1. Change last sentence to read: "Also the position of the Additional Representative at Large who is a recent residency graduate shall be appointed to the Board after nomination by the Nomination Committee. NOTE: (previously was Residency Training Committee).
Section 3. Change to read: Election shall be by mail ballots distributed to all members eligible to vote at least 90 days prior to the Annual Meeting of the year when vacancies are to be filled in accordance with the provisions of these bylaws. NOTE: References to elections of 1987 & 88 are omitted. Previous version stipulated ballots distributed 6 months prior to annual meeting.
Section 4. Omit the phrase "at the Winter Meeting" from the first sentence.
Article IX: Committees Section 1. Finance Committee added as the fifth standing committee.
Article XI: Annual Meetings Section 4. Add third sentence: "After the passage of a motion to reconsider an action of the board, the issue shall be put before the membership fo the AACP by mail ballot within 90 days."
Article XIV: Termination Section 1. Re-written as: "If the organization is dissolved, its assets shall be distributed to a not-for-profit mental health organization pursuing similar goals as the AACP, to be determined by the Executive Committee." NOTE: This omits specific reference to the APA or to specific categories of tax-exempt organizations.
